01Service Definition

Inner Circle is a recurring subscription service provided by Zoe. G Studio (the "Studio") using Ko-fi as the payment and membership-management platform. There are three tiers:

• Tier 01 · INNER: NT$99 / month
• Tier 02 · COMPANION: NT$299 / month
• Tier 03 · GUARDIAN: NT$999 / month (capped at 20 seats)

Specific perks for each tier are defined by the content published on zoeg.studio/#circle and the Studio's Ko-fi page at any given time. The Studio reserves the right to adjust perk contents with prior notice — see Section 9.

02Payment, Renewal, and Billing Cycle

2.1 All payments are processed by Ko-fi (Kofi Labs Ltd., https://ko-fi.com). Acceptance of Ko-fi's payment terms is a prerequisite for subscription.

2.2 Subscriptions are billed monthly. The first charge occurs at subscription time; subsequent charges occur automatically on the same calendar day each month.

2.3 If a charge fails, the Studio provides a 14-day grace period during which access remains intact. Beyond the grace period, the account is suspended and historical content access is not retained.

2.4 The Studio reserves the right to adjust subscription pricing. Any adjustment will be communicated via the Ko-fi page and an email announcement at least 30 days in advance of the effective date, with the option to cancel before the adjustment takes effect.

03Cancellation and Refunds

3.1 Members may cancel at any time through Ko-fi's account page. Upon cancellation, access continues through the end of the current billing cycle.

3.2 Refund policy: Because this service qualifies as "customized digital content provided upon consumer request" and "online service completed upon delivery without a tangible medium" under Article 19 and 19-2 of the Taiwan Consumer Protection Act, the statutory 7-day unconditional return right does not apply.

3.3 However, refunds may be requested in the following cases:

1. The Studio fails to deliver the monthly content specified in Section 1 for 30+ consecutive days within a billing cycle without written explanation;
2. A force-majeure platform outage (Ko-fi-side) prevents access for 14+ consecutive days and no alternative access method is provided;
3. Unfulfilled periods resulting from the Studio's voluntary termination of service (handled under Section 9).

3.4 Refund requests outside these categories are considered case-by-case. Submit via email to commissions@zoeg.studio; the Studio will respond within 7 business days.

04Content Usage Rules

4.1 All music, videos, notes, lyric cards, behind-the-scenes materials, and custom pieces provided through Inner Circle ("Member Content") are copyrighted to Zoe. G Studio.

4.2 The license granted to members is a personal, non-commercial, non-exclusive listening/viewing right. It may not be transferred, sublicensed, publicly performed, broadcast, used commercially, or modified.

4.3 The following are breaches of these Terms:

1. Downloading members-only content and uploading to any public platform (YouTube, Spotify, BiliBili, TikTok, etc.);
2. Sharing listening links, files, or videos with non-members;
3. Creating derivative works (remixes, covers, dubs) from Member Content and releasing them publicly;
4. Mass-downloading Member Content through scrapers, automation, or other technical means;
5. Using Guardian-tier custom pieces in commercial settings, advertising, or public events.

4.4 Breach of any of the above may result in termination under Section 8, and the Studio reserves the right to pursue legal remedies.

4.5 Member Content does not include MIDI, stems, or sheet music. No tier grants access to these materials.

05AI Disclosure

5.1 Zoe. G Studio creates with an AI-assisted workflow. Specifically, music is generated using Suno AI (Pro tier, with commercial-use license), with Zoe. G serving as director, producer, lyric editor, final mixer, and curator.

5.2 The same workflow applies to all Member Content delivered through Inner Circle. The Studio does not obscure this, minimize it, or claim that the melodies or vocals are human-composed or human-sung.

5.3 The copyright the Studio asserts covers: concept, structure, emotional arc, lyric editing, curatorial sequencing, and associated visual design — the "curatorial intent and production taste" of each work.

5.4 The Studio does not share AI music training data, model weights, or reverse-engineerable raw prompts; these are treated as trade secrets.

06Intellectual Property

6.1 All trademarks, logos, visual designs, written content, and website code belonging to the Studio are the Studio's property.

6.2 Membership does not transfer any intellectual property rights. The license in Section 4 is a limited usage right and does not constitute copyright or trademark licensing.

6.3 For any commercial use of Studio works, please follow the official commission process at zoeg.studio/#commissions.

07Member Obligations

7.1 Members must provide accurate personal information at subscription and maintain account security.

7.2 Members must not use the service in ways that are illegal, violate third-party rights, or breach public order.

7.3 Members must not impersonate others or use false information to obtain the service.

7.4 If a member discovers unauthorized use of their account, they must notify commissions@zoeg.studio immediately.

08Suspension and Termination

8.1 If a member breaches Section 4 or Section 7, the Studio may immediately terminate the membership and retain paid fees.

8.2 Access to Member Content will be closed within 30 days of termination.

8.3 The Studio typically issues a written warning before termination, giving the member a chance to remedy the issue; except in cases of severe breach, where immediate termination applies.

09Service Changes and Discontinuation

9.1 The Studio reserves the right to adjust service contents (tier perks, delivery frequency, delivery format). Adjustments unfavorable to members require 30 days' advance notice via email and website announcement.

9.2 If the Studio decides to discontinue Inner Circle, all existing members will receive at least 60 days of buffer, with pro-rata refunds for undelivered periods.

10Dispute Resolution and Governing Law

10.1 These Terms are governed by the laws of Taiwan (Republic of China).

10.2 Disputes arising from these Terms shall be submitted to the Taipei District Court as the court of first instance.

10.3 Before formal dispute proceedings, both parties shall first engage in good-faith negotiation via email for 30 days.

11Changes to Terms

11.1 These Terms may be updated. Material changes (affecting refunds, fees, content use) will be announced via email and the website at least 30 days before the effective date.

11.2 Continued use of the service after the effective date constitutes acceptance of the updated Terms.

11.3 Members who disagree with the updated Terms may cancel before the effective date; the current billing cycle's fees are not refundable.
